Studio License Agreement

This Studio License Agreement (“Agreement”) is a legally binding contract between Direcani Audio Lab (“Producer”, “we”, “us”) and the purchaser (“Licensee”, “you”).
By purchasing, downloading, or using any beat under the Studio License, you agree to the terms outlined below.
1. Grant of License
Upon full payment, Direcani Audio Lab grants the Licensee a non-exclusive, non-transferable, extended license to use the purchased beat (“Instrumental”) under the conditions stated in this Agreement.
Ownership of the Instrumental remains solely with Direcani Audio Lab.
2. Permitted Uses
Under this Studio License, the Licensee is permitted to:
- Record vocals and create one (1) new song
- Release the song commercially or non-commercially
- Distribute the song on:
- All major streaming platforms
- Social media platforms
- Digital stores
- Perform the song live, including paid performances
- Monetize the song on:
- Streaming platforms
- YouTube (videos and Content monetization)
- Social media platforms
3. Usage Limits (Extended)
The Licensee may not exceed:
- 500,000 total audio streams
- Unlimited music videos
- Radio broadcast (local & online radio only)
Usage beyond these limits requires a further licensing upgrade or written permission.
4. Restrictions
The Licensee may not:
- Claim ownership of the Instrumental
- Resell, sublicense, or redistribute the beat as a standalone product
- Use the beat for exclusive purposes
- Use the beat in multiple songs
- Remove or alter producer tags (if present)
- Register the Instrumental alone with Content ID systems
(Song versions containing vocals are permitted unless otherwise restricted)
5. Producer Credit (Mandatory)
The Licensee must credit the Producer as follows:
“Produced by Direcani”
or
“Prod. Direcani Audio Lab”
Credit must appear on all platforms where credits are displayed.
6. Non-Exclusive Nature
This is a non-exclusive license.
Direcani Audio Lab reserves the right to license the Instrumental to other parties.
7. Term
This license is valid in perpetuity, provided all terms and usage limits are respected.
8. Breach & Termination
This license is automatically terminated if the Licensee:
- Violates any term of this Agreement
- Exceeds usage limits without upgrading
- Fails to provide required producer credit
Upon termination, all rights granted revert immediately to Direcani Audio Lab.
9. No Refunds
All Studio License purchases are final and non-refundable, in accordance with our Refund & Returns Policy.
10. Intellectual Property
All copyrights and publishing rights in the Instrumental remain the sole property of Direcani Audio Lab.
No ownership or copyright transfer is granted under this license.
11. Governing Law
This Agreement shall be governed by and interpreted under the laws of the Federal Republic of Nigeria.
