Exclusive License Agreement

This Exclusive License Agreement (“Agreement”) is a legally binding contract between Direcani Audio Lab (“Producer”, “we”, “us”) and the purchaser (“Licensee”, “you”).
By purchasing, downloading, or using any beat under the Exclusive License, you agree to the terms outlined below.
1. Grant of Exclusive License
Upon full payment, Direcani Audio Lab grants the Licensee an exclusive, non-transferable license to use the purchased beat (“Instrumental”) under the terms of this Agreement.
This license grants exclusive usage rights to the Licensee; however, ownership of the Instrumental remains with Direcani Audio Lab unless otherwise agreed in writing.
2. Exclusivity Scope
Once an Exclusive License is purchased:
- The Instrumental will be removed from public sale
- No new licenses will be issued to third parties
- Any previously issued non-exclusive licenses remain valid and unaffected
3. Permitted Uses
Under this Exclusive License, the Licensee is permitted to:
- Record vocals and create one (1) new song
- Release the song commercially with no stream, sales, or performance limits
- Distribute the song worldwide across all platforms
- Monetize the song fully on:
- Streaming services
- Social media platforms
- YouTube (including Content ID)
- Perform the song live, including broadcasted and paid performances
- Use the song for:
- Radio
- Television
- Film
- Commercial projects
- Advertising campaigns
4. Usage Flexibility
- Unlimited audio streams
- Unlimited music videos
- Unlimited radio and broadcast usage
No upgrade is required under normal commercial exploitation.
5. Restrictions
The Licensee may not:
- Claim authorship or ownership of the Instrumental itself
- Resell, sublicense, or redistribute the Instrumental as a standalone product
- Use the Instrumental to create multiple songs without written approval
- Transfer this license to another party without written consent
6. Producer Credit (Required)
Unless otherwise agreed in writing, the Licensee must credit the Producer as:
“Produced by Direcani”
or
“Prod. Direcani Audio Lab”
Credit must appear on all releases where production credits are customarily listed.
7. Publishing & Royalties
Unless otherwise agreed in writing:
- Direcani Audio Lab retains producer authorship
- Publishing splits, if any, are subject to separate written agreement
- No mechanical, publishing, or royalty ownership is transferred by default
8. Term
This Exclusive License is granted in perpetuity, provided the Licensee complies with all terms of this Agreement.
9. Breach & Termination
This license is automatically terminated if the Licensee:
- Violates any term of this Agreement
- Fails to provide required producer credit
- Attempts to transfer or resell rights unlawfully
Upon termination, all rights granted revert immediately to Direcani Audio Lab.
10. No Refunds
All Exclusive License purchases are final and non-refundable, without exception.
11. Intellectual Property
All copyrights in the Instrumental remain the sole property of Direcani Audio Lab unless explicitly transferred through a separate written agreement.
This Agreement does not constitute a copyright sale.
12. Governing Law
This Agreement shall be governed by and interpreted under the laws of the Federal Republic of Nigeria.
